Official Rules for the "Intelli-Friend" Promotion

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED.

1. Introduction

Karrier Communications (hereafter "Karrier") is offering a drawing of chance (hereafter "Drawing") to promote the IntelliGolf® software via its Intelli-News (hereafter "Intelli-News) newsletter.

2. How to Play

Participants in the Drawing are subscribers of Intelli-News newsletter during the Drawing Period who refer at least ONE (1) new subscriber via http://www.intelligolf.com/friends.asp or a new registered subscriber of the Intelli-News newsletter who is entered into the Drawing by signing up at http://www.intelligolf.com/friends.asp and referring at least ONE (1) new subscriber, but may opt-out by removing their entry via the unsubscribe link at the bottom of each Intelli-News newsletter email. The Intelli-News newsletter subscription is free. LIMIT: Each Participant can receive only ONE (1) entry in the sweepstakes per new subscriber (i.e. Intelli-Friend) referred with a verifiable and valid subscriber name and email address. Karrier is not responsible for lost, late, incomplete, invalid, illegible, or misdirected entries, which will be disqualified; for failed, partial or garbled computer transmissions; for technical failures of any kind, including, but not limited to electronic malfunctioning of any network, hardware or software; or for any error, human, technical or otherwise. 3. How to Win

The winner will be determined in a random drawing to be held on or about the first week of every proceeding month. The Karrier will notify the Participant via the registered e-mail address within SEVEN (7) days of the drawing. The Prize is subject to the terms and conditions set forth in these Official Rules. Entry to the sweepstakes is valid for the duration of the Drawing, the timing of which is set forth below. Odds of winning depend on the number of eligible entries received, but in no case shall the Drawing be held for a month that has less than 250 Participants.

4. Timing

The "Intelli-Friend" promotion begins the first day of each month in Y2005 (until cancelled by Karrier, at its complete and sole discretion), at 12:00:00 p.m. Pacific Standard Time ("PST") and ends the last day of each month, at 11:59:00 am. PST, (the "Drawing Period").

5. Claiming Prizes

To claim a prize, Participant must print out the e-mail received from the Karrier containing the information that Participant was randomly selected to win a prize, legibly hand write on the e-mail print-out the Participant's name, address, and telephone number, and then send or fax it to Karrier, Attention: Intelli-Friend Promotion, or via facsimile (530-677-5056). Karrier must receive all prize claims no later than TEN (10) days after the winner was notified by the Karrier. Within ONE (1) week of receipt of Participant's prize claim, Karrier will supply via facsimile, e-mail or U.S. Mail, an affidavit of eligibility/release of liability and publicity (the "Affidavit"). The winner must execute and return the Affidavit within TEN (10) days of receipt. Noncompliance within this time period may result in disqualification. If the potential winner cannot be confirmed within TWENTY-ONE (21) days after the drawing, at the e-mail address provided, then an alternate winner may be selected or the Prize forfeited, at the sole discretion of Karrier.

6. Prizes and Odds

The prize offered in the Drawing consists of a $250 Gift Certificate (the "Prize") to a leading golf superstore, to be determine each month by Karrier, and its sole discretion, based upon the location (i.e. country) of residence of the winner. Some restrictions and rules may apply to the timing and use of the Prize depending upon the golf superstore selected. No cash or other substitution permitted, except by Karrier, who reserves the right to substitute the Prize with another prize of equal or greater value in the event of unavailability. The odds for winning the Prize depend on the total number of participants in the Drawing.

8. Who is Eligible

The Drawing is open only to residents of those countries that allow such participation in Drawings of this nature, and who are 18 years of age or older. The Drawing is specifically not open to residents of US Government embargoed countries. Employees of Karrier, its subsidiaries, affiliates, and agents, and the immediate family (defined as parents, children, siblings, husband, wife, or life partner) of each such employee, together with those with whom such employees are domiciled, are not eligible.

9. General Terms and Conditions

Except where prohibited by law, participation in the Drawing constitutes the winner's consent to Karrier's use of the winner's name, city, state, and county, likeness, photograph, statements made by the winner about the Drawing, Karrier, or prize information for promotional purposes in any media without further payment or consideration. All entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry, and any potential winner may be required to show proof of being the authorized account holder for that e-mail address. The "authorized account holder" is the natural person assigned to an e-mail address by an Internet service provider, online service provider, or other organization responsible for assigning e-mail address for the domain. By receipt of any prize, the winner agrees to release and hold harmless Karrier, its related companies, and its officers, directors, employees and agents from and against any claim or cause of action arising out of participation in the Drawing receipt or use of the prize. All entries become the property of Karrier, and none will be returned. Karrier is not responsible for any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from downloading any material from Karrier's Web site, regardless of whether the material was prepared by Karrier or a third party, and regardless of whether the material is connected to the Karrier's Web site by a hypertext link. Karrier reserves the right to cancel or modify the Drawing if fraud, technical failures, or any other factor beyond Karrier's reasonable control impairs the integrity of the Drawing as determined by Karrier in its sole discretion. In such event, Karrier reserves the right to award the Prize at random from the eligible entries received up to the time of the impairment. All federal, state and local laws and regulations apply. Karrier's decisions as to all administrative aspects of the Drawing and the determination of the winner are final and binding on Participants.

10. Dispute Resolution

By participating in the Drawing, each Participant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Game, or any prize awarded, other than the administration of the Drawing or the determination of winners shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Courts for Sacramento, California or the appropriate California State Court located in Sacramento, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Drawing but in no event attorneys' fees; and (3) under no circumstances will the Participant be permitted to obtain awards for and each Participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Participants and Karrier in connection with the Drawing, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of California, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

11. Data Use

Karrier will be collecting personal data about Participants when they enter the Drawing (e.g. Name and Email Address) by signing up for the Intelli-News newsletter. By participating in the Drawing, Participants hereby agree to all personal information uses and disclaimers. However, Karrier shall not rent, lease, or sell such information to any third parties.

12. Copy of Official Rules and Past Winners

Karrier will post the name and city of the winner on the Web Site after the winner was notified and will maintain the winner list at http://www.intelligolf.com/friends_winners.asp for approximately six months after the drawing. Any person may obtain a copy of the Official Rules (the same as posted on this web page) for the Drawing by mail by sending a self-addressed, stamped envelope to Karrier. Any person may obtain a copy of the winner list by sending a self-addressed stamped envelope to Karrier. Requests for Official Rules and Winner List must be received no later than six months after drawing.
